Simple Essentials™ "Best Trick" Video Official Contest Rules

Eligibility: The Simple Essentials™ "TD Celebration" Video Contest (the "Contest") is open to all legal U.S. residents who are at least eighteen (18) years of age, except employees of Hill's Pet Nutrition, Inc. ("Sponsor"), The A Team LLC ("Administrator"), retailers where Sponsor's products are sold ("Retailers") and their respective parents, distributors, subsidiaries, affiliates, partners, suppliers, advertising and promotion agencies, and the immediate families or household members of each. The Contest is subject to all applicable federal, state and local laws and regulations. Void where prohibited or restricted by law or regulations.

How to enter: To enter, visit www.treatstdcelebration.com ("Contest website"), and (i) provide your name; email address; mailing address; phone number; and age and (ii) upload an original video of your dog performing his/her best touchdown dance/celebration and (a) being rewarded with Hill's® Simple Essentials™ treats with a Hill's® Simple Essentials™ treats bag being clearly visible in the video for at least 5 seconds. To enter without purchase and receive a sample pack of Simple Essentials™(while supplies last) hand print your name, address, telephone number and the Words "Simple Essentials™ Treats on a 3" x 5" card. Mail your 3" x 5" card to: Simple Essential's TD Celebration Sample Request, P.O. Box 2068, Maryland Heights, MO 63043. Only one (1) free sample pack per hand-addressed envelope per household. Mail in requests must be postmarked by March 26, 2010, and received by April 5, 2010.

Video entries must: (i) be uploaded in .mov, .mpeg, .mp4, .wmv, or .avi format with a maximum file size of 100 MB; (ii) be no longer than one (1) minute; and (iii) contain one (1) dog dance/celebration by entrant's dog only. Only one (1) dog should appear in video. Videos must not: (i) feature or refer to any dog food products other than Hill's® Simple Essentials™ Treats; (ii) feature or reference other third party trademarks [(with the exclusion of Hill's® brand assets provided on the Contest website)]; (iii) feature or reference any names or third party logos [(other than the Hill's® brand logo)]; (iv) contain any copyrighted works (other than as owned by the entrant); (v) include any behavior that would be considered abusive to an animal; (vi) include any music; (vii) contain vulgar, obscene or indecent language or behavior; (viii) defame or libel any third party. Videos can only include an individual if the individual is essential to the dog trick being performed. By uploading your video, you agree that you have received permission for the use of the image/likeness of any and all identifiable persons appearing in your entry. [You may be required to submit a release (to be provided by Sponsor) signed by each identifiable person appearing in your entry granting Sponsor permission to use his or her image/likeness.] Entries that do not comply with these Official Rules or that otherwise contain prohibited, or inappropriate content as determined by the Sponsor, in its sole discretion, will be disqualified and will not be published or considered for prizes. Sponsor makes the final determination as to which entries are eligible to take part in this Contest and be considered for a prize.

The Contest begins at 12:01 AM, Eastern Time ("ET") on January 24, 2010 and ends at 11:59 PM ET on April 13, 2010 ("the Contest Period"). Only one (1) entry per person for the entire Contest Period; duplicate entries for the same individual will be disqualified. If a person enters more than one (1) time, all entries from such individual will be disqualified. All entries become the property of Sponsor and will not be acknowledged or returned. Entries will be posted on the Contest website during the Contest Period.

In the event of a dispute over the identity of an entrant, entry will be deemed submitted by the authorized account holder of the e-mail account of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Selection of Prize Winners: All entries will be judged on (i) entertainment value (50%); and (ii) unique quality of the dance/celebration(40%), and (iii) degree of skill/training (10%). Judging will be conducted by a panel of qualified judges designated by Sponsor who are experts in the field of canine training. The decisions of the judging panel are final and binding on all matters relating to the Contest. The winners will be selected on or about April 23, 2010. All winners will be notified by mail, phone, or email on or about April 26, 2010. All winners will be required to sign and return to Sponsor an affidavit of eligibility and liability/publicity release within fourteen (14) days of the date of winning notification; failure to sign affidavit and liability/publicity during this timeframe will result in winner forfeiting prize, and a new winner having the next highest score will be selected.

Prizes (5): One (1) grand prize winner will be awarded a home entertainment center ( Approximate Retail Value "ARV" $10,000) selected by Sponsor. Ten (10) first prize winners will each be awarded a 46" Sony® LED flat screen TV (ARV $2,000). Twenty (20) second place winners will each be awarded a Freedom® Tailgate grills (ARV $900). Total ARV of all prizes: $48,000. Restrictions on prizes may apply. Winners will be responsible for all applicable federal, state and local taxes. Prizes are non-transferable and no substitution by winners or cash equivalent is allowed. Sponsor reserves the right to substitute prizes for one of equal or greater value.

Release of Liability: By participating, you release Sponsor, Administrator Team, Retailers and their respective subsidiaries, affiliates, partners, employees, directors, and agents, including advertising agencies ("Released Entities"), from any and against any and all injury, loss or damage caused or claimed to be caused by your participation in the Contest and/or the acceptance, awarding, receipt, use and/or misuse of the prize, and you agree that Released Entities are in no matter responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the Contest and/or the awarding of any prize. Notwithstanding the foregoing, in the event that the preceding release is determined by a court of competent jurisdiction to be invalid or void for any reason, Contest entrant agrees that, by entering the Contest, (i) any and all disputes, claims, and causes of action arising out of or in connection with the Contest, or any prizes awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorney's fees; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses.

Additional Rules: Entrant represents and warrants that his/her entry: (i) is the original work of the entrant produced for this Contest; (ii) has not been entered in or won previous contests or awards; (iii) has not been published previously in any medium; (iii) does not infringe any party's intellectual property rights; (iv) does not contain obscene or pornographic material; (v) does not contain defamatory statements (including but not limited to words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation or socioeconomic group); (vi) does not include threats to any person, place, business, group or world peace, (vii) does not invade privacy or other rights of any person, firm or entity, and (viii) does not in any other way violate applicable laws and regulations.

By entering this Contest and uploading your video, you irrevocably grant to Sponsor and its agents the unconditional and perpetual right to post, display, publish, use, adapt, edit and/or modify such video in any way, in any and all media, for any purpose, without limitation, and without consideration to you. Winners agree to irrevocably assign and transfer to the Sponsor any and all rights, title and interest in their winning video, including, without limitation, all copyrights and waive all moral rights in the video.

Entrant hereby agrees to defend, indemnify and hold harmless Released Entities against any and all third party claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or related to any breach by the entrant of any provision of these Official Rules, including, without limitation, entrant's representations and warranties made herein.

Entry materials/data that have been tampered with or altered are void. Sponsor is not responsible for: (i) lost, late, misdirected, damaged, garbled, or illegible entries; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant's or any other person's computer related to or resulting from participating in the Contest. By participating in the Contest, you (i) agree to be bound by these official rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor, which are final and binding in all matters relating to the Contest. Failure to comply with these official rules may result in disqualification from the Contest. Sponsor reserves the right to: (i) permanently disqualify from any contest it sponsors any person it believes has intentionally violated these official rules; and (ii) suspend, modify or terminate the Contest if Sponsor believes, in its sole discretion, that malfunction, error, disruption or damage is impairing or will impair the administration, security, fairness, integrity or proper play of the Contest. If Contest is terminated before the end date, Sponsor will determine the winners from all eligible entries received as of the termination date. Entry constitutes consent to the use of prize winner's name, voice, picture and/or likeness, and video submitted as part of the entry process, without compensation for promotion purposes.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE THE CONTEST WEBSITE OR INTERFERE WITH THE OPERATION OF THE CONTEST, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
